These Merchant Terms of Use (“Terms”) govern your participation as a merchant (“Merchant,” “you,” or “your”) in the Goodbuy platform operated by Goodbuy, Inc. (“Goodbuy,” “we,” “our,” or “us”). By submitting an application, uploading business or product information, or otherwise participating in any Goodbuy-powered marketplace (including white-labeled marketplaces operated by credit union partners, together the “Marketplace”), you agree to these Terms and our Privacy Policy. If you do not agree, you may not participate in the Marketplace.
1.1 To participate, you must be a business legally authorized to sell products or services in the United States. You represent that you have full power and authority to enter into these Terms on behalf of your business.
1.2 By applying or submitting Merchant Content (defined below), you authorize Goodbuy to list your business and products in the Marketplace and to promote your participation in accordance with these Terms.
1.3 Participation in the Marketplace is non-exclusive. You remain free to use other sales or marketing channels.
2.1 “Merchant Content” means trademarks, trade names, logos, product images, descriptions, offers, pricing, promotions, creative materials, and any other materials or information you provide to Goodbuy.
2.2 You grant to Goodbuy a non-exclusive, worldwide, royalty-free, fully paid license, with the right to sublicense to credit union partners (“CU Partners”) and Goodbuy’s service providers, to host, use, reproduce, display publicly, adapt, modify for formatting, transmit, distribute, and create derivative works from Merchant Content for purposes of:
(a) operating and promoting the Marketplace, including CU-branded and white-labeled instances;
(b) allowing CU Partners to use Merchant Content to promote their branded Marketplace through their own channels, including websites, mobile apps, social media, newsletters, press releases, member communications, and advertising;
(c) marketing your business’s participation in the Marketplace across Goodbuy’s channels, including websites, social media, email campaigns, advertising (paid and organic), investor and industry communications, press releases, case studies, and sales materials; and
d) internal testing, analytics, and product development.
2.3 Goodbuy and CU Partners may crop, resize, reformat, or otherwise adapt Merchant Content for technical or promotional purposes but will not materially distort your marks or products without your consent.
3.1 As between the parties, you retain all right, title, and interest in and to your Merchant Content and business marks. No rights are transferred except for the license granted above.
3.2 Goodbuy retains all right, title, and interest in and to the Marketplace, its software, design, interfaces, and Goodbuy branding.
3.3 Nothing in these Terms grants you rights to Goodbuy’s or any CU Partner’s trademarks or intellectual property except as expressly authorized.
4.1 You represent and warrant that:
(a) you own or control the rights to all Merchant Content you provide;
(b) Merchant Content is accurate, lawful, and does not infringe, misappropriate, or violate third-party rights;
(c) all products, offers, and promotions included in Merchant Content comply with applicable law and industry standards; and(d) you have obtained any necessary consents, licenses, or permissions to provide Merchant Content and grant the license described above.
4.2 You are solely responsible for your products, services, and transactions with consumers. Goodbuy is not a party to sales between you and consumers and is not responsible for product quality, fulfillment, or customer service.
You agree to indemnify, defend, and hold harmless Goodbuy, CU Partners, and their respective officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
(a) Merchant Content,
(b) your products or services, or
(c) your breach of these Terms.
6.1 Goodbuy may remove or disable access to Merchant Content that is alleged to infringe intellectual property rights, violates Marketplace policies, or otherwise creates risk for Goodbuy or CU Partners.
6.2 Goodbuy will provide notice to you where practicable but is not required to do so in advance of removal.
6.3 You may request removal of your Merchant Content by giving written notice; however, previously published materials may continue to appear for a reasonable wind-down period (not to exceed 12 months).
7.1 Participation fees, if any, will be disclosed during onboarding or in your Merchant dashboard.
7.2 Goodbuy reserves the right to adjust fees upon reasonable notice.
8.1 The Marketplace and Services are provided “as is” and “as available.” Goodbuy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.
8.2 Goodbuy does not guarantee that Marketplace operation will be uninterrupted, error-free, or that Merchant Content will appear in any particular format, placement, or prominence.
8.3 You are solely responsible for your interactions with consumers and for compliance with applicable laws, taxes, and regulations.
To the maximum extent permitted by law, Goodbuy’s aggregate liability to you arising out of these Terms or your participation in the Marketplace will not exceed the greater of (a) $100 or (b) the fees paid by you to Goodbuy in the six months preceding the claim. Goodbuy will not be liable for indirect, incidental, special, consequential, or punitive damages.
10.1 These Terms apply from the date you first agree and continue until terminated.
10.2 Either party may terminate at any time by providing written notice.
10.3 Sections that by their nature should survive termination (including licenses granted as to already-published Merchant Content, indemnification, and limitations of liability) will survive.
11. Governing Law and Venue
These Terms are governed by the laws of Delaware. Any disputes will be heard in state or federal courts located in Wilmington, Delaware, and you consent to jurisdiction there.
12.1 Entire Agreement: These Terms and our Privacy Policy form the entire agreement between you and Goodbuy regarding Marketplace participation.
12.2 Severability: If any provision is found invalid, the remainder will remain in force.
12.3 Waiver: No waiver of any provision is deemed a waiver of any other provision.
